There is a total of 15 directors comprised of five representing each of the member counties (Caroline, Kent, and Talbot). At least two members from each county shall be at least 60 years of age. Every effort should be made to have members from low income and minority groups. The officers of the Corporation shall be President, Vice President, Secretary, and Treasurer.
The Board appoints their own members at the annual meeting in September.
Members shall serve a term of 3 years and may be reappointed for an additional term. Full terms of office shall commence with the annual meeting of the Board. Officers shall be elected annually at the meeting in September.

Upper Shore Aging Inc. shall make policy decisions relating to the management of programs as well as the application of grants, personnel, and operations for the Corporation. They shall establish programs and priorities and ensure the delivery of service and the conditions of grants are effectively carried out. They shall collect data concerning the needs of the elderly and shall identify resources for improving programs and creating new ones.
